Carillion plc (the 'Company')
Application for Admission

Application has been made to the UK Listing Authority and the London Stock
Exchange for the admission of 65,815,163 Ordinary Shares of 50p each in the
Company ('Shares') to the Official List of the UK Listing Authority and to
trading on the London Stock Exchange's main market for listed securities. These
Shares, which will rank pari passu in all respects with the existing shares of
the Company in issue, will be allotted pursuant to Carillion's acquisition of
Mowlem plc by means of a scheme of arrangement under section 425 of the
Companies Act 1985.

Admission is expected to become effective on Thursday, 23 February 2006.
