                     Acquisition of one share in Mowlem plc

Carillion has today acquired one ordinary share in Mowlem plc ('Mowlem') at a
price of 236 pence. This will mean that Carillion will be a member of Mowlem on
the effective date of the Scheme and accordingly there will be no requirement
under section 103 of the Companies Act 1985 for an independent valuation of the
ordinary shares in Mowlem to be allotted to Carillion pursuant to the Scheme.

The Panel Executive has confirmed that the acquisition of the share has no Code
consequences.

Capitalised terms used in this announcement, unless otherwise indicated, have
the meanings ascribed to them in the Scheme Document.
