                         WITHDRAWAL OF REQUISITION OF

                 EXTRAORDINARY GENERAL MEETING BY DAWNAY, DAY


The Board has received a letter today stating that Dawnay, Day Properties
Limited, acting on behalf of three shareholders, has withdrawn their request
to the directors of Capital & Regional plc to convene an extraordinary general
meeting pursuant to Section 368 of the Companies Act 1985.  Capital & Regional
has, therefore, given instructions to cancel the printing and posting of a
circular convening the meeting which was due to be posted today.  The meeting
will not now take place.
