WITHDRAWAL OF REQUISITION OF



                  EXTRAORDINARY GENERAL MEETING BY DAWNAY, DAY


The Board has received a letter today stating that Dawnay, Day Properties
Limited, acting on behalf of three shareholders, has withdrawn their request
dated 1 February 2002 to the directors of Capital & Regional plc to convene an
extraordinary general meeting pursuant to Section 368 of the Companies Act 1985.
