Application has been made to the London Stock Exchange and the UK Listing
Authority for a listing of 1,225,107 Ordinary 10 pence fully paid shares of
Capital & Regional plc to be admitted to the Official List.  The shares are to
be listed to cover the conversion of loan stock and are fully allotted.

The shares will rank pari passu in all respects with the existing issued
ordinary share capital of the company.
