NOTIFICATION OF INTEREST PURSUANT TO DTR 5 AND DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 26 June 2015 Capital & Regional plc (the Company) received notification that PDI Investment Holdings had transferred 16,292,256 ordinary shares in the Company to Stabilis Investment Holdings Limited on 24 June 2015 at a price of 58.0p per share.

Louis Norval has a beneficial interest in PDI Investment Holdings. Stabilis Investment Holdings Limited, is a connected party of Louis Norval but he does not have a beneficial interest in it.  Following the transaction the revised beneficial interest of Louis Norval in ordinary shares of the Company is 178,306,758.    

Of the above entities the following are those that hold over 3% of the Company's issued share capital following the transactions:
