NOTIFICATION OF INTEREST PURSUANT TO DTR 5 AND DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 15 April 2015, Capital & Regional plc (the Company) received notification of the following transactions:

PDI Investment Holdings transferred 13,248,529 ordinary shares in the Company to Mstead Limited.

Pinelake International Limited transferred 16,734,881 ordinary shares in the Company to Mstead Limited.

Homestead Group Holdings Limited transferred 15,674,697 ordinary shares in the Company to Mstead Limited. 

The transactions completed between 10 April 2015 and 13 April 2015 all at a price of 57.5p.

Neno Haasbroek and Louis Norval both have a beneficial interest in PDI Investment Holdings and Pinelake International Limited. Louis Norval has a beneficial interest in Homestead Group Holdings and Mstead Limited. 

Of the above entities the following are those that hold over 3% of the Company's issued share capital following the transactions:
