Two directors of the Company participated in the Tender Offer which closed on 19
April 2002.

On settlement of the Tender Offer on 26 April 2002, Roger Boyland and Xavier
Pullen will respectively sell 121,100 and 195,000 ordinary shares of 10p in the
Company at the tender price of

285p per share, so that their revised beneficial holdings will be:

Roger Boyland 436,385

Xavier Pullen 809,545
