                             Capital & Regional plc





Application has been made to the London Stock Exchange and the UK Listing
Authority for a listing of 52,838 Ordinary 10 pence fully paid shares of Capital
& Regional plc to be admitted to the Official List.  The shares are to be listed
to cover the outstanding conversion of the 6.75 per cent Convertible
Subordinated Unsecured Loan Stock ("the Loan Stock") and are fully allotted.
Following the conversion, the Loan Stock will be de-listed.



The shares will rank parri passu in all respects with the existing issued
ordinary share capital of the Company.
