CAPITA GROUP PLC ('Capita' or the 'Company')

Directors' dealings

The Company was informed on 21 September 1999 of the following transactions by
two of its directors.  

On 21 September 1999, Rod Aldridge OBE, exercised options in respect of
360,000 ordinary shares at an exercise price of 51p.  The same day he (and his
family interests) sold these 360,000 ordinary shares and a further 1,000,000
ordinary shares all at 766p per share.

Also on 21 September 1999, Paul Pindar (and his family interests) sold 575,000
ordinary shares at 766p per share.

Following these transactions, Rod Aldridge OBE (and his family) are interested
in 6,248,000 Capita shares representing 3.0 per cent. of the issued share
capital of the Company and Paul Pindar (and his family) are interested in
1,000,000 Capita shares representing 0.5 per cent. of the issued share capital
of the Company.
