The Company has been informed that on 29 April 2002 Paul Pindar, Chief Executive
of Capita, purchased 50,000 2p ordinary shares at a price of 382 pence each. As
a result of this purchase the interest of Mr Pindar and his family in the issued
ordinary share capital of the Company is 3,050,000 ordinary shares representing
approximately 0.46% of the issued share capital of Capita.
