The Capita Group Plc (the 'Company')


The Company was informed on 28 July 2006 of the following transaction:


On 28 July 2006, Mr Robert Martin, a Divisional Director of The Capita Group
Plc, exercised options granted under the Group's 1997 Executive Share Option
Scheme as follows:


Exercise 1 - at an exercise price of 4.36p per share in respect of 75,000
Ordinary Shares.


Exercise 2 - at an exercise price of 4.49p per share in respect of 125,000
Ordinary Shares.


Exercise 3 - at an exercise price of 4.54p per share in respect of 75,000
Ordinary Shares.


Exercise 4 - at an exercise price of 4.52p per share in respect of 90,000
Ordinary Shares.


Total Amount of shares exercised - 365,000


The 365,000 shares were sold on the same day at 5.230922p per share.


On 28 July 2006 Mr Martin sold 5,000 Ordinary Shares in the company at an
average price of 5.25p per share. Following the transaction, Mr Martin holds no
interest in the share capital of the Company.
