The Company was informed on 24 February 2006 of the following transaction:


On 23 February 2006, William Dye, a Divisional Director of The Capita Group Plc,
exercised options granted under the Group's 1997 Executive Share Option Scheme
at an exercise price of 227p per share in respect of 70,000 Ordinary Shares. The
shares were sold on the same day at 443.0166p per share. Following the
transaction, Mr Dye holds no interest in the share capital of the Company.
