                         Capita Group Plc ('Capita')

          Acquisition of shares in Capita DBS Limited ('Capita DBS')


Capita announces that on 4 September 2001 Capita Property Consultancy Limited
acquired 24 B ordinary shares of £1.00 each in Capita DBS for a total
consideration of £1 million. These shares were acquired from certain key
employees of Capita DBS under a performance related deferred consideration
arrangement. The consideration will be satisfied by the issue to such
employees of 232,560 ordinary shares of Capita (the 'consideration shares').


Application has been made to the UK Listing Authority and the London Stock
Exchange for the consideration shares to be admitted to the Official List. It
is expected that dealings will commence on 6 September 2001.


The consideration shares will rank pari passu with the existing ordinary
shares of Capita.
