Directors' Dealings and Issue of Equity

 

Further to the Company's announcement on 23 October 2014 and in-line with its strategy to preserve its cash resources, CAP-XX announces that it has issued 1,768,116 ordinary shares of no par value ("New Ordinary Shares") in the Company, in lieu of certain directors' salaries and fees due to certain advisers of the Company. The New Ordinary shares have been issued at a price of 3.45p, representing the 30 day volume weighted average price to 29 October 2014, being the latest practicable date prior to this announcement.

 

Of the New Ordinary Shares to be issued, the following directors have been allocated:

An application has been made for the New Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on 5 November. Following Admission, the Company's issued share capital will consist of 116,227,365 ordinary shares of no par value. The above figure (116,227,365) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
