Caledonia Investments PLC 11 June 2004 Results of Extraordinary General Meeting The Board of Caledonia Investments plc ('Caledonia') is pleased to announce that at the extraordinary general meeting ('EGM') and class meeting of Caledonia held this morning, the shareholders voted in favour of resolutions required for the implementation of the proposed elective special dividend and reduction of capital (the 'Special Dividend Proposals'), as detailed in the circular sent to Caledonia's shareholders on 19 May 2004 (the 'Circular'). The principal outstanding conditions to the implementation of the Special Dividend Proposals are (i) the Court approving the reduction of capital by Caledonia and (ii) the Court approving a scheme of arrangement of The Cayzer Trust Company Limited. The Court hearings are scheduled to be held on 29 June 2004 and the payment of the Special Dividend is expected to be made as soon as possible thereafter. The Board of Caledonia is also pleased to announce that at the EGM, independent shareholders voted in favour of a resolution enabling the Company to make market purchases of its own shares without triggering a general offer to all shareholders by the Cayzer concert party. This is subject to the aggregate holding of the Cayzer concert party not, as a consequence of such market purchases, exceeding 49.9 per cent of the Company's issued share capital. Caledonia's shareholders also voted in favour of all other resolutions proposed at the EGM.
