Director/PDMR Shareholding Notification


Caledonia Investments plc ('Caledonia') announces that, on 1 December 2006, the
trustees of Mrs I H Buckley No 6 Settlement ('No 6 Settlement') sold 341
Caledonia ordinary shares, representing 0.0006% of Caledonia's total issued
ordinary share capital, to the trustees of the P N Buckley Discretionary
Settlement ('Discretionary Settlement'), at a price of £21.12p per share. Mr P N
Buckley, a director of Caledonia, is a trustee of both trusts, however his wife,
Mrs M B Buckley, is also a trustee of the Discretionary Settlement. The purchase
of these shares by the Discretionary Settlement is therefore a transaction
requiring disclosure by Mrs Buckley in accordance with DR 3.1.4R(1)(a), as a
connected person of Mr Buckley.

On 5 December 2006, the trustees of the No 6 Settlement transferred a total of
7,060 Caledonia shares, representing 0.01% of Caledonia's issued ordinary share
capital, to Mr and Mrs Buckley's two daughters at a value of £21.16p per share.
This transfer requires disclosure in accordance with DR 3.1.4R(1)(a) in respect
of both Mr and Mrs Buckley and also in accordance with DR 3.1.4R(1)(b), a
disclosure made in accordance with section 324 (as extended by section 328) of
the Companies Act 1985, in respect of Mr Buckley, being a reduction in his
non-beneficial interests in Caledonia.


Mr Buckley's total interests in Caledonia's ordinary shares following the above
transactions are as follows:

  • Beneficial                              603,000 shares               1.03%
  • Non-beneficial                          299,701 shares               0.51%
  • Options                                 130,000 shares               0.22%
  • Deferred bonus plan                     15,973 shares                0.03%

The shares subject to the above transactions are registered in the name of
Caytrust Finance Company Limited.
