Caledonia Investments PLC 02 December 2005 Caledonia Investments plc Director/PDMR Shareholding Caledonia Investments plc ('Caledonia') announces that one of its directors, Timothy Charles William Ingram, today exercised options over 55,332 Caledonia ordinary 5p shares, representing 0.09% of Caledonia's issued ordinary share capital, at an exercise price of 782.5p per share. Of the Caledonia shares received from the option exercise, Mr Ingram sold 36,547 shares at a price of 1816p per share, representing 0.06% of Caledonia's issued ordinary share capital, to fund the cost of the option exercise and associated tax liabilities. Mr Ingram subsequently transferred 300 shares to each of his three sons, one of whom, Nicholas David Oliver Ingram, is a connected person as defined by the FSA Disclosure Rules and the balance of 17,885 shares to his wife, Christine Ingram, also a connected person. All of the above transfers will be registered in the names of the transferees as noted above. Mr Ingram's total holdings of Caledonia's shares following the above transactions are as follows: • Beneficial 86,029 shares 0.13% • Options 214,843 shares 0.34% Mr Ingram's option exercise was sourced from shares held by the Caledonia Investments plc Employee Share Trust (the 'Trust'), which also repurchased the 36,547 shares sold by Mr Ingram referred to above, at a price of 1816 per share. In addition, The Trust also transferred 4,000 shares at 740p per share, 6,001 shares at 757.5p per share and 2,666 shares at 782.5p per share to other Caledonia employees exercising options under Caledonia executive share option schemes, in total representing 0.02% of Caledonia's issued ordinary share capital, and repurchased all of these shares transferred at a price of 1816p per share. All of the shares repurchased by the Trust will be registered in the name of Greenwood Nominees Ltd A/c 438545. Following the above transactions, the Trust holds 774,189 Caledonia shares, representing 1.21% of Caledonia's total issued ordinary share capital. Each executive director of Caledonia, as a potential beneficiary, is interested in shares held by the Trust. This notification is made in accordance with DR 3.1.4R(1)(a) in relation to the dealings by Mr Ingram, Mrs C. Ingram, Mr N.D.O. Ingram and the Trust. This notification is also made in accordance with DR 3.1.4R(1)(b), a disclosure made in accordance with section 324 (as extended by section 328) of the Companies Act 1985, in relation to the dealings by Mr Ingram and the Trust.
