Director/PDMR Shareholding Notification

 

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following transaction involving two of its directors, William Wyatt and The Honourable Charles Cayzer, and one of The Hon Charles Cayzer's connected persons, his son, Charles Cayzer. 

 

On 17 July 2014, The Hon Charles Cayzer transferred 5,000 Caledonia ordinary shares, representing 0.009% of Caledonia's total issued ordinary share capital, to a family trust, of which his son is a potential beneficiary and of which Mr Wyatt is a Trustee. The Caledonia shares held by the trust are included within the non-beneficial interests of Mr Wyatt.   

 

The Caledonia shares were transferred at a price of £21.865 per share.  The shares remain within the Cayzer family concert party and the registered holder, both before and after the transaction, is the Caytrust Finance Company Limited.

 

The Honourable Charles Cayzer's total interests in Caledonia's ordinary shares following the above transaction are as follows:

 

Beneficial - 40,092 shares = 0.07%

Non-beneficial - 18,985 shares = 0.03%

 

Mr Wyatt's total interests in Caledonia's ordinary shares following the above transaction are as follows:

 

Beneficial - 1,042,890* shares = 1.88%

Non-beneficial - 28,293 shares = 0.05%

Options - 32,786 shares = 0.06%

Performance share scheme awards = 81,604 = 0.15%

Deferred bonus plan - 49,224 shares = 0.09%

 

* 938,106 shares of Mr Wyatt's total beneficial holding are owned by The Dunchurch Lodge Stud Company, a company controlled by Mr Wyatt and certain of his connected persons.
