                         Announcement of Board Changes


Caledonia Investments plc ('Caledonia') confirms that, as previously envisaged,
Joe Burnett-Stuart retired as a non-executive director of Caledonia on 31
December 2002. With effect from the same date, Charles Allen-Jones has been
appointed senior independent non-executive director and chairman of the Audit
Committee and Mark Davies chairman of the Remuneration Committee. Mr Davies has
also been appointed a member of the Audit and Nomination Committees.

As previously stated, the board of Caledonia intends to appoint a further
independent non-executive director and it is expected that an announcement will
be made in due course.
