TOTAL VOTING RIGHTS AND CAPITAL AS AT 28 FEBRUARY 2011
In accordance with its obligations under rule 5.6.1 of the Disclosure and Transparency Rules, Caffyns plc confirms that as at 28th February 2011 its issued share capital consists of 2,879,298 ordinary shares of 50 pence each (the "Ordinary Shares") and 2,000,000 6% Cumulative Second Preference Shares of 10 pence each (the "6% Preference Shares"). The total number of voting rights in respect of the Ordinary Shares is 2,879,298, each Ordinary Share having one vote. The total number of voting rights in respect of the 6% Preference Shares is 2,000,000, each 6% Preference Share having one vote.
Caffyns plc holds 82,963 ordinary shares in treasury. The voting rights on the ordinary shares held in treasury have been waived.
The Ordinary Shares are admitted to trading on the Official List of the United Kingdom Listing Authority. However, the 6% Preference Shares are not admitted to trading on a regulated or prescribed market. Therefore, the figure of 2,796,335 should be used by ordinary shareholders as the denominator for the calculation by which they will determine whether they are required to notify their interest in, or a change to their interest in Caffyns plc under the FSA's Disclosure and Transparency Rules.
