TOTAL VOTING RIGHTS

In conformity with Regulation 20 of the Transparency (Directive 2004/109/EC) Regulations 2007, C&C announces that as of 14 July 2009:

C&C's issued share capital consists of 329,583,417 ordinary shares of nominal value €0.01 each ("Ordinary Shares").  

As at 14 July 2009, 13,800,000 Ordinary Shares have been issued under the C&C Joint Share Ownership Plan. Such Ordinary Shares had previously been deducted from the Company's issued share capital to calculate total voting rights. Whilst the accounting treatment is to treat these Ordinary Shares as treasury shares, they are not classified as treasury shares as defined by Section 209 of the Companies Act 1990.  

Therefore, the total number of voting rights in C&C as of 14 July 2009 is 329,583,417.

The above figure of 329,583,417 may be used by shareholders as a denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, C&C under the Transparency (Directive 2004/109/EC) Regulations 2007 and the Interim Transparency Rules.
