N Brown Group plc ('the Company')

The Company was advised on 1 February 2006 that Fidelity International Limited
(FIL) and its direct and indirect subsidiaries, both being non-beneficial
holders had reduced the number of ordinary shares held by them in the Company to
22,509,777 ordinary shares of l0p each. This shareholding now represents 7.62%
of the current issued share capital of the Company.
