N Brown Group plc ('the Company')

The Company was advised on 18 August 2004 that FMR Corp. and its direct and
indirect subsidiaries and Fidelity International Limited (FIL) and its direct
and indirect subsidiaries, both being non-beneficial holders had increased the
number of ordinary shares held by them in the Company to 37,963,976 ordinary
shares of 10p each.  This shareholding represents 12.97% of the current issued
share capital of the Company.
