The company wishes to announce the exercise of matching shares under the Company
Deferred Annual Bonus Scheme granted in 2000 and the exercise of a Long Term
Incentive Award granted in 2000 by Mr T J Kowalski (Finance Director) and also
the sale of shares by Mr T J Kowalski, as detailed on the enclosed disclosure
form.

As a result of the option/award exercises and sale of shares referred to above,
the number of shares held by the N Brown Group plc Number 2 Employee Share
Ownership Trust in which Mr T J Kowalski (Finance Director), Mr J Martin (Deputy
Chairman), Mr A White (Chief Executive) and Mr M S Bullas (Merchandise Director)
are technically interested as potential beneficiaries has reduced to 1,017,520
shares.
