N Brown Group plc, the Manchester based home shopping, fulfilment and financial
services company, today informs the market that on 21 May 2002 Jim Martin, Chief
Executive, sold 525,216 shares (0.2% of issued share capital) at a price of
£2.40 per share.

Following this disposal, Jim Martin's remaining shareholding in N Brown Group
plc is 527,650 shares (0.2% of issued share capital), together with 407,438
share options under long-term incentive and share option schemes.
