We write to notify you that, as a result of the transfer on 28th February 2002 
of 31 shares of the company by the N Brown Group plc No.2 Employee Share 
Ownership Trust ('the No.2 Trust') to a former employee on the exercise of her 
interest under the Company's Deferred Annual Bonus Scheme for Nil Consideration, 
the number of shares held by the No.2 Trust, in which Mr Jim Martin (Chief 
Executive) and Mr Tim Kowalski (Finance Director) together with other employees 
within the group, are technically interested as potential beneficiaries, has 
reduced to 152,589 shares.
