The company wishes to announce the exercise of matching shares under the Company
Deferred Annual Bonus Scheme and the exercise of a contingent award by Mr A
White (Chief Executive) and also the sale of shares by Mr White as detailed on
the disclosure form below.

As a result of the option/award exercises and sale of shares referred to above
the number of shares held by the Trustees of the N Brown Group plc No. 2
Employee Share Ownership Trust, in which Mr Alan White (Chief Executive) and Mr
Dean Moore (Finance Director) are technically interested as potential
beneficiaries, has decreased from 692,257 shares to 361,344 shares.
