In accordance with the FSA's Disclosure and Transparency Rule 5.6, F&C US Smaller Companies PLC ("the Company") advises that as at 31 March 2012 the Company had 21,087,135 ordinary shares of 25p each in issue with a total of 21,087,135 voting rights.
