The Board of Foreign & Colonial U.S. Smaller Companies PLC announces that on
Friday, 27 August 1999 it posted a circular to shareholders and warrant holders
convening an extraordinary general meeting and warrantholders' meeting to seek
authority for the Company to purchase a further 14.9 per cent of its issued
ordinary share capital.
