NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Britvic plc ("the Company") was notified on 11 April 2011, that the following transactions have taken place in relation to the Britvic Share Incentive Plan ("SIP") on 8 April 2011.  The SIP is an all-employee trust arrangement approved by HM Revenue and Customs, under which employees are able to:

(a)        buy ordinary shares in the Company of 20p each, using deductions from salary in each 4-week pay period, and receive allocations of matching free ordinary shares ("Matching Shares").

(b)        receive allocations of free ordinary shares ("Free Shares").

Matching Shares

1.        The SIP trustees have allocated 27,410 ordinary shares of 20p each to employees participating in the SIP as matching shares.  These shares were allotted to the SIP on 4 February 2011 at nominal value (£5,482).

2.        The following directors and persons discharging managerial responsibilities purchased the number of ordinary shares of 20p set out against their names below, at a price of £3.95 per ordinary share, and were allocated for no consideration the number of matching shares set out against their names below:

Free Shares

1.      The SIP trust subscribed for 484,343 ordinary shares on 8 April 2011 at a total cost of £96,868.60.  The shares were allocated by the SIP Trust to employees participating in the SIP as free shares.  

2.      The directors and persons discharging managerial responsibilities named above were each allocated 760 free shares as participants in the SIP, for no consideration.
