British Land Co PLC 10 July 2002 This is the text of a document being sent out to British Land shareholders today: Letter from your Company Secretary 10 July 2002 Dear Shareholder, ANNUAL GENERAL MEETING 2002 We have been contacted by a number of private shareholders who have been telephoned at home, apparently by representatives of Laxey soliciting an understanding of their voting intentions. If you are contacted in this way, we would remind you that, whatever may be said on the telephone, your Board's recommendations are as follows: Resolutions 1-13 FOR Resolutions 14-16 AGAINST Your Board recommends that you leave BLANK on the proxy card the section naming the proxy to be appointed, which will have the effect of leaving any matters on which you choose not to vote to the discretion of the Chairman of the Meeting. If you give your proxy to Mr Colin Kingsnorth or any other representative of Laxey, your votes will NOT be cast with the Board's recommendations on all matters. All proxy forms must be lodged with the registrars by no later than 11.30 am on Sunday 14 July 2002. It has also been brought to our attention that Laxey have sent out a document dated 1 July 2002 to a number of private shareholders, although that document stated that it was only being distributed to shareholders who fall within the exemptions contained in articles 19 and 49 of the Financial Services and Markets Act 2000.
