DIRECTORS' INTERESTS



The Company was notified on 4 January 2005 that, on the same day, Mr P.N. Adams,
a Director of British American Tobacco p.l.c., acquired 5,333 British American
Tobacco p.l.c. 25p ordinary shares (the "Shares") following the exercise of
options held under the British American Tobacco Sharesave Scheme, at an option
price of 316.4p per Share.



Following this transaction, Mr Adams has a total beneficial and family interest
in 240,559 Shares (including 112,411 Deferred Shares).
