DIRECTORS' INTERESTS


The Company was notified on 9 February 2004 that on 24 April 2003 and 17
September 2003 Mrs G Adams (a connected person to Mr P N Adams, a Director of
British American Tobacco p.l.c.) acquired 1,832 and 866 British American Tobacco
p.l.c. 25p ordinary shares (the "Shares") respectively as a result of the
reinvestment of dividends by her investment manager.  The price of the Shares
acquired on 24 April 2003 and 17 September 2003 was 616p and 653p per Share
respectively.



Following these transactions, Mr Adams has a total beneficial and family
interest in 262,161 Shares (including 88,103 Shares under the Deferred Share
Bonus Scheme).
