DIRECTOR SHAREHOLDING

The Company was notified on 3 July 2003 that on 1 July 2003 Mr M F Broughton, a
Director of British American Tobacco p.l.c., and Mrs J M Broughton (a connected
person) acquired 427 and 75 British American Tobacco p.l.c. 25p ordinary shares
(the "Shares") respectively at a price of 681.5p per Share as a result of the
quarterly reinvestment of income by their PEP Manager.



Following these transactions, Mr Broughton has a total beneficial and family
interest in 738,965 Shares (including 172,590 Deferred Shares).
