DIRECTORS' SHAREHOLDINGS

The Company was notified on 31 July 2002 by the trustee of the British American
Tobacco Partnership Share Scheme (the "Scheme") that on 30 July 2002 the
following directors had purchased ordinary shares of 25p each in British
American Tobacco p.l.c. (the "Shares") by way of the Scheme at a price of 686p
per Share.
