DIRECTORS' SHAREHOLDINGS

The Company was notified on 12 February 2002 by the trustee of the British
American Tobacco Partnership Share Scheme (the 'Scheme') that, on 29 January
2002, P A Rayner, a director of the Company, had purchased 20 ordinary shares of
25p each in British American Tobacco p.l.c. (the 'Shares) by way of the Scheme
at a price of 602.5p per Share.

Following this transaction, Mr Rayner has a beneficial interest in 29,454 Shares
(including 29,434 Shares under the Deferred Share Bonus Scheme).
