NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Notification made in accordance with Disclosure Rule 3.1.4R(1)(a) of the Disclosure and Transparency Rules.

1.       The independent Trustee of the British American Tobacco Group Employee Trust notified the Company on 25 March 2010 that it had on 25 March 2010 released the following number of British American Tobacco p.l.c. 25p ordinary shares (the "Shares") to the following person discharging managerial responsibility:

2.       On 25 March 2010, the Company granted an award of British American Tobacco p.l.c. 25p ordinary shares to the Executive Directors of British American Tobacco and other persons discharging managerial responsibilities (the "Participants") listed below under the Deferred Share Bonus Scheme at an award price of 2258 pence per Share.  Awards under the Deferred Share Bonus Scheme are conditional awards of shares which are held in trust for three years and no further performance conditions apply in that period.

3.       Further, on 25 March 2010, the Company granted awards of British American Tobacco p.l.c. 25p ordinary shares (the "Shares") to Executive Directors of British American Tobacco and other persons discharging managerial responsibilities listed below (the "Participants") under the British American Tobacco 2007 Long Term Incentive Plan at an award price of 2258 pence per Share.  The awards are exercisable from 25 March 2013 to 24 March 2020, subject to the satisfaction of performance conditions specified on the award date.  The maximum number of shares comprised in the awards granted to the Participants which could vest if the performance conditions are met in full is shown opposite the name of each Participant set out below:
