Re: Continuing Obligations - Burmah Castrol Plc
Burmah Castrol plc hereby give notice pursuant to Section 329 of the Companies
Act 1985 that each of the directors listed below has today notified the Company
that by virtue of his being one of the potential beneficiaries of the Burmah
Castrol plc Employee Share Trust (the 'Share Trust'), he, together with other
employees in the Burmah Castrol Group, has become interested in the number of
Ordinary 42p shares of Burmah Castrol plc indicated in paragraph (c) below as a
result of purchases made by Cazenove & Co. pursuant to instructions from Midland
Bank Trustee (Jersey) Limited as Trustee of the Share Trust.
(a) Directors who are potential beneficiaries of the Share Trust are listed
below:-
Mr. T.E.P. Stevenson, Mr. B. Hardy, Mr. J.R.P. Pike and Mr. M.B. Dearden
(b) Transactions notified in relation to the Share Trust are detailed below:-

(c) Following the above transactions, the number of Ordinary Shares of 42p each
in Burmah Castrol plc held by or on behalf of the Trustee of the Share Trust is
now 3,583,198.
(d) In respect of the 3,583,198 ordinary shares referred to in paragraph (c)
above, options have been granted to the above-named directors over a total of
461,134 such shares and options have been granted to other participants in the
Share Trust over 3,122,064 of such shares.
(e) On 14 September, 1999, the Exchange was notified that pursuant to the Rules
of the Burmah Castrol 1995 Executive Share Option Scheme, options over a total
of 104,161 of the 825,715 ordinary shares acquired by the Trustee of the Share
Trust referred to in paragraph (b) above, have been granted to the above-named
directors and options over a total of 721,554 ordinary shares have been granted
to other participants in the Share Trust.
