The company announces that it has established the Bodycote
International Employee Benefit Trust.   It is intended that
the trust will purchase or subscribe for shares in the market,
for use in conjunction with the company's executive share
options schemes.  Today the trust acquired 150,000 shares at
the price of 267p each.
