Bodycote International PLC 19 October 2000 BODYCOTE SELLS ITS PVD EQUIPMENT MANUFACTURING BUSINESS FOR £24.2 MILLION Bodycote International plc ('Bodycote' or 'the Group'), the international metallurgical processing group, is pleased to announce that it has agreed the sale of its physical vapour deposition ('PVD') equipment manufacturing business, Hauzer Techno Coating Europe BV ('HTCE'), a subsidiary of Hauzer Industries BV, to Ipsen International GmbH ('Ipsen'), a subsidiary of Ruhrgas Industries GmbH ('Ruhrgas') of Germany. Bodycote will retain the other two subsidiaries of Hauzer Industries BV, namely Bodycote Hardingscentrum BV and Hauzer Coating Centrum BV, which provide heat treatment services and PVD services respectively. The total consideration for the sale is NLG 90.0 million (£24.2 million), all of which was satisfied in cash on 18 October 2000. The net proceeds of the disposal will be used for general corporate purposes. The business being disposed of had sales of NLG 61.1 million (£18.3 million), earnings before interest and tax of NLG 11.2 million (£3.3 million), and contributed £2.9 million to the Group's consolidated pre-tax profit for the year ended 31 December 1999. The business being disposed of had net assets of NLG 20.1 million (£5.7 million) as at 31 December 1999. As part of the sale agreements, Bodycote has agreed to continue to source equipment (on a non-exclusive basis) from HTCE. Commenting on the disposal, John Chesworth, Managing Director of Bodycote, said today: 'We are delighted to announce the sale of this business to Ipsen. We are selling because our focus is to provide metallurgical and testing services to industry. The sale of the Group's heat treatment equipment manufacturing businesses last year was a move in line with this strategy, and the sale of HTCE further enhances the focus of the Group.'
