Director Shareholding

Stanelco PLC 24 December 2004 Stanelco Plc ('the Company') Stanelco Plc, the radio frequency applications group, announces that after more than 12 years as Finance Director, Mr Barrie Hozier, 58, will move to a non-executive role in February 2005. The Company is in the process of identifying a suitable replacement for the Finance Director role. The Company was informed on 23 December 2004 that the following transactions had taken place on that day: Mr Barrie Hozier has exercised share options over 10,000,000 Ordinary shares of 0.1p each, representing 1.19% of the Ordinary share capital of the Company, at an exercise price of 2.5299p per Ordinary share. Mr Barrie Hozier has also disposed of 7,500,000 Ordinary shares of 0.1p each, representing 0.89% of the Ordinary share capital of the Company, to his adult son Mr David Hozier at a price of 5.625p per Ordinary share. Following these transactions Mr Barrie Hozier will hold 15,833,333 Ordinary shares of 0.1p each, representing 1.88% of the Ordinary share capital of the Company. Both Mr Barrie Hozier and Mr David Hozier have given undertakings not to trade in these shares until 14 days following the announcement of the company's annual results for the year ended 31 October 2004. In addition 300,000 Ordinary shares of 0.1p each were issued to a former employee on exercise of Enterprise Management Incentive share options at a price of 2.87p per Ordinary share following application. The company have therefore issued 10,300,000 Ordinary shares of 0.1p each representing 1.3% of the Ordinary share capital of the Company. The net cash proceeds to the Company from exercise of these options is approximately £250,000. Application will be made to London Stock Exchange plc and the UK Listing Authority for these shares to be admitted to the Official List. Dealings are expected to commence on 10 January 2005.
