PROSPECTUS

As announced on 23 March 2009, Berkeley Resources Limited intends to undertake a non-renounceable pro rata offer of shares on the basis of 1 new share at an issue price of $0.50 for every 20 shares held at the record date, together with 1 free attaching option for every 2 shares subscribed.

A Prospectus has been lodged with ASIC and ASX today and a copy is available for download on the Company's website, www.berkeleyresources.com.au .

The pro rata offer will only be made available to those shareholders with a registered address in Australia as at the record date of 19 May 2009.
