                     RESULTS OF EXTRAORDINARY GENERAL MEETING


The Board of Benchmark Group PLC announces that at the Extraordinary General
Meeting held earlier today the Ordinary Resolutions to effect the Share
Consolidation, the alteration of the conversion rate applicable to the
Convertible Loan Stock, the adoption of the Benchmark Group PLC 2001 Approved
and Unapproved Executive Share Option Plans and the establishment of the
Benchmark PLC 2001 Employee Share Ownership Trust were duly passed.
