Directors' dealings



Begbies Traynor Group plc ('Begbies Traynor' or 'the Company') was notified on
17 March 2005, that on 17 March 2005 the following ordinary shares of 5p each in
the Company were transferred by Ric Traynor, Andrew Dick and CS Secretaries
Limited (a nominee company for Ric Traynor, Andrew Dick and Graham McInnes) to
The Begbies Traynor National Partnership (a firm controlled by Ric Traynor and
Andrew Dick) and to Graham McInnes.



The Begbies Traynor National Partnership and Graham McInnes are already the
beneficial owners of the shares (as was disclosed in the Prospectus dated 28
September 2004 and issued in relation to the placing of the Company's shares on
1 October 2004) and the transfers were effected merely to ensure that the shares
are registered in the correct names.  In any event the control of these shares
remains the same (being with Ric Traynor and Andrew Dick as the two partners of
the Begbies Traynor National Partnership and with Graham McInnes).



The transfers were made for no consideration given that they were already
beneficially owned by the recipients.



In accordance with the Placing Agreement (entered into between, amongst others,
Ric Traynor, Andrew Dick and Teather and Greenwood Limited on 28 September
2004), Teather and Greenwood Limited gave their prior written consent to the
transfers.
