CSSF approval for the Company as an internally managed AIF

 

The Commission de Surveillance du Secteur Financier ("CSSF") has granted the Company authorisation as an internally managed alternative investment fund ("AIF") and as such it is authorised to act as its own alternative investment fund manager with effect from 7 October 2014. The Company complies with the Luxembourg law of 12 July 2013 on alternative investment fund managers which implements the EU Alternative Investment Fund Managers Directive (the "AIFMD") into Luxembourg law.  

 

Pursuant to the terms of an agreement between the Company and RBC Investor Services Bank S.A. (the "Depositary") dated 8 August 2014 (the "Depositary Bank and Paying Agent Agreement"), the Depositary has been appointed as the Company's depositary for the purposes of the AIFMD. The Depositary is the Company's existing provider of custodian and paying agent services pursuant to a custodian and principal paying agent agreement dated 6 December 2011 (the "Custodian and Principal Paying Agent Agreement"). The Company has appointed the Depositary to have responsibility for the safe-keeping of the assets, cash flow monitoring and certain oversight and paying agent functions.  The terms and conditions of the Depositary Agreement (including in respect of fees and notice periods) are materially the same as the existing Custodian and Principal Paying Agent Agreement which is replaced by the Depositary Agreement.
