The following replaces completely the announcement which was released on to-day

                           BROCHURE OF PARTICULARS

           Providence Resources P.l.c. ('Providence' or the 'Company')

Application has been made to the Irish Stock Exchange for 27,320,633 Ordinary
Shares of nominal value €0.001 each in the capital of Providence to be admitted
to dealing on the Exploration Securities Market of the Irish Stock Exchange.

The shares are being issued pursuant to:
     
(a)  23,121,850 - The conversion of US$ Bonds (and interest accrued thereon) in 
     Providence Resources Capital Limited into ordinary shares of Providence;
     
(b)  1,000,000 - Exercise of Options;
     
(c)  3,198,783 - Exercise of Warrants;

The new shares rank pari passu in all respects with the existing ordinary
shares.

Admission is expected to become effective and dealings expected to commence in
these shares on Tuesday 10 August, 2004.
