BROCHURE OF PARTICULARS





Application has been made to the Council of The Stock Exchange in Dublin for
27,320,633 ordinary shares of €0.001 each to be admitted to listing on the ESM.
These shares rank pari passu in all respects with the existing ordinary shares
in the capital of the company.



The shares are being issued pursuant to:



(a)  the conversion of US$ Bonds and interest in Providence Resources Capital
Limited into ordinary

       shares of Providence Resources P.l.c. 23,121,850 shares;





(b) the exercise of an option 1,000,000 shares and





(c) the exercise of warrants - 3,198,783 shares.





Copies of this Announcement are available from the Company Announcement Office
for two days and from the Registered Office of the Company for fourteen days
following the date of publication.
