NOTIFICATION OF TRANSACTIONS OF DIRECTORS,                                           
PERSONS DISCHARING MANAGERIAL                                                             
RESPONSIBILITY OR CONNECTED PERSONS

A.G.BARR plc ("the Company") was notified on 17 June 2010 that the following transactions took place in relation to the A.G.BARR All Employee Share Ownership Plan ("AESOP") on 16 June 2010.  The AESOP is an all-employee trust arrangement approved by HM Revenue and Customs, under which employees are able to receive allocations of free ordinary shares ("free shares").

The AESOP trust acquired 77,692 ordinary shares from the Company's Profit Linked Share Plan at a total price of £824,312.12.  The shares were allocated by the AESOP trust to employees participating in the AESOP as free shares.

The following directors were each allocated 282 free shares as participants in the AESOP, for no consideration:
