SUBJECT:          Transaction in Own Shares

The Board of Baronsmead VCT 2 plc announces that on 2 December 2008 the Company purchased 73,000 shares ordinary shares of 10p at a price of 77.5 p per share to be held in Treasury.

The Company's issued ordinary share capital consists of 68,260,329 with voting rights of which 5,314,770 are held in Treasury. Therefore the total number of shares with voting rights in Baronsmead VCT 2 plc is 62,945,559.

The above figure 62,945,559 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Baronsmead VCT 2 plc under the FSA's Disclosure and Transparency Rules.
